Terms of Service Last Updated: February 19, 2025 These Terms of Service ("Agreement") are between RentBamboo, Inc. ("Provider," "We," "Our," or "Us") and the company or individual accessing or using the Product ("Customer," "You," or "Your"). By signing up for, accessing, or using the Product, Customer accepts and agrees to be bound by the terms and conditions set forth in this Agreement. If you signed a separate Cover Page to access the Product and that agreement has not ended, the terms in the Cover Page govern your use of the Product and this Agreement does not apply. 1. Cover Page, Order Form, and Framework Terms This Agreement consists of: Order Form: The details of the order, including the Product, fees, and terms. Framework Terms: This Order Form is governed by the Framework Terms, which are composed of the Key Terms below and the Common Paper Cloud Service Agreement Standard Terms Version 2.1, which are incorporated by reference. Any modifications made in the Cover Page will control over conflicts with the Standard Terms. Capitalized words in this Agreement have the meanings assigned in the Cover Page or the Standard Terms. Cloud Service: RentBamboo provides AI agents for property management companies to automate the leasing process and help them scale without the need for additional hires. Order Date: The effective date when Customer first accepts this Agreement. Subscription Period: One month until canceled. 2. Cloud Service Fees and Payment Process Cloud Service Fees: The pricing for certain parts of the Product is outlined on Rentbamboo’s pricing page here. The Customer agrees to pay the Provider the applicable fees based on the Product tier and usage. RentBamboo may modify the pricing by providing at least 30 days' notice to Customer (including by email or in-product notifications). Price changes will apply at the start of the next Subscription Period. Payment Process: By accepting this Agreement, the Customer authorizes the Provider to charge the payment method on file for monthly payments without requiring further approval. Payments will be billed automatically on a monthly basis. Non-Renewal Notice Period: The Customer may cancel the subscription with at least 30 days' notice before the end of the current Subscription Period. 3. Key Terms Customer: The individual or company that accesses or uses the Product. If the person accepting this Agreement is doing so on behalf of a company, "Customer" refers to that company. Provider: RentBamboo, Inc. Effective Date: The date Customer first accepts this Agreement. Governing Law: This Agreement is governed by the laws of the State of Delaware. Chosen Courts: Any legal action or dispute will be brought in the state or federal courts located in Delaware. 4. Covered Claims Provider Covered Claims: Any claim, action, or proceeding that the Cloud Service, when used by the Customer according to the terms of this Agreement, violates or infringes on any intellectual property or other proprietary rights of a third party. Customer Covered Claims: Any claim, action, or proceeding that: The Customer’s Content, when used according to the terms of this Agreement, infringes upon any intellectual property or other proprietary rights of a third party. Results from the Customer’s breach or alleged breach of Section 2.1 (Restrictions on Customer). 5. General Cap Amount The total liability for fees paid or payable by the Customer to the Provider within the 12-month period preceding the claim. 6. Notices Any notices under this Agreement should be sent to: For Provider: support@rentbamboo.com For Customer: The main email address associated with the Customer’s account. 7. Restrictions on Customer Customer agrees not to: Use the Product in any manner that violates the rights of others, including intellectual property rights or privacy rights. Attempt to reverse-engineer, decompile, or disassemble the Cloud Service. Use the Product in any unlawful manner or for illegal purposes. Breach any other terms and conditions set forth in this Agreement. 8. Modifications to the Agreement Provider may update or modify this Agreement at any time, and changes will be effective upon the posting of the updated Agreement on the Provider’s website or within the Product. Continued use of the Product after changes to this Agreement are posted will constitute Customer’s acceptance of such changes. 9. Termination Provider reserves the right to suspend or terminate Customer’s access to the Product if Customer violates any terms of this Agreement or if payment is not received in accordance with the agreed-upon payment terms. 10. Entire Agreement This Agreement, including the Cover Page, Order Form, Framework Terms, and any attachments, constitutes the entire agreement between the parties concerning the use of the Product and supersedes any prior agreements or understandings.
